1. DEFINITIONS AND INTERPRETATION

These Terms and Conditions , owned and operated by SABD (Pty) Ltd and including any page, part or element thereof. “SA BUSINESS DIRECTORIES” means SABD (Pty) Ltd (formerly known as SA BUSINESS DIRECTORIES), registration number 2015/299952/07, including its subsidiaries, owners, shareholders and business units; References herein to the singular includes the plural and vice versa; and The fact that some or all of the hyperlinks may, from time to time, be non- operational, shall not affect the validity and interpretation of these terms and conditions. Certain pages, products or services are subject to their own set of terms and conditions and such terms and conditions available on the website are deemed to be included as part of these terms and conditions.

2. GENERAL

SABD (Pty) Ltd is the market leading directional media and publishing company in South Africa. In addition World Directories, a Belgium incorporated company, owns a significant shareholding of SABD. This relationship offers access to the latest product and technological innovations available worldwide. South African Directory Enquiries currently distributes
approximately 7.7 million directories annually and thus provides world-class directional information services to millions of users within South Africa. The Value Chain in terms of its business processes offers end-to-end directory solutions. SABD has a well-developed professional infrastructure including experienced staff, proprietary tools and publishing software underpinned by sound financial controls and history that enables SABD to ensure that all details are considered and services are provided on time and is of a high standard.

3. ALLOWED USE AND LICENSE SABD

licenses the User to view and print the content provided that such content is used for private, personal, educational and/or non-commercial purposes only or to view and print this agreement for legal and / or evidential purposes. Disclosing, sharing or publishing material that may be offensive, defamatory, regulated, prohibited, infringing or damaging to any person; and/or The creation, storage and sending of unsolicited commercial communications. The purpose of the caching is to make the onward transmission of the content from the Advertiser Lounge more efficient; The cached content is not modified in any manner whatsoever. If any User uses content from the Advertiser Lounge in breach of the provisions detailed herein:- SABD reserves the right to claim damages from the User; SABD reserves the right to institute criminal proceedings against the User; and SABD shall not be liable, in any manner whatsoever, for any damage, loss or liability that resulted from the use of such content by the User or any third party who obtained any content from the User. SABD shall not be liable, in any manner whatsoever, for any damage, loss or liability that resulted from the use of content, products or services. E-mail addresses, names, telephone numbers and fax numbers published (Including graphical images) may not be incorporated into any database used for electronic marketing or similar purposes. All licenses and/or permissions granted in terms of this clause 2 are provided on a non-exclusive and non-transferable basis and may be terminated or cancelled by SABD at any time without prior notice or reasons.

4. INTELLECTUAL PROPERTY RIGHTS

All intellectual property, including but not limited to content, trademarks (or any confusingly similar trademarks), logos, pictures, video, downloads, domain names, patents, design elements, software, source code, meta tags, databases, text, graphics, icons and hyperlinks are the property of or licensed to SABD and as such, are protected from infringement by domestic and international legislation and treaties. Subject to the rights licensed to the User in clause 2, all other rights to intellectual property on the website are expressly reserved. No person may use logos, icons or trade marks from the hyperlinks or other purposes without SABD prior written consent.

5. SOFTWARE AND EQUIPMENT

It is the responsibility of the User to acquire and maintain, at his/her own expense, the necessary computer hardware, software, communication lines and Internet access accounts required to access the Internet to perform searches for advertisers 6. 8. PRIVACY

SABD shall take all reasonable steps to protect the personal information of Users and for the purpose of this clause, personal information shall be defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA). SABD may electronically collect,store and use the following personal information of Users:
Name and surname; 
Street address; Postal address; 
Title;
Contact numbers; 
Non-personal browsing habits and click patterns; 
E-mail address; 
IP address. 
SABD collects stores and uses the above mentioned information for the following purposes:-
Communicate requested information to the User; Provide services to the User as requested by the User; Provide services to the User as requested by the User; Provide services to the User as requested by the User; Information detailed above is collected either electronically by using cookies or is provided voluntarily by the User. Users may determine cookie use independently through their browser settings. For purposes of this clause, a cookie means a small computer file created by a web browser to save user information for web site.
SABD may collect, maintain, save, compile, share, disclose and sell any information collected from users, subject to the following provisions:-

HYPERLINKS TO THIRD PARTY SITES

SABD may provide hyperlinks to websites not controlled by SABD (“target sites”) and such hyperlinks do not imply any endorsement, agreement on or support of the content, products and/or services of such target sites. SABD does not editorially control the content, products and/or services on target sites and shall not be liable, in any manner whatsoever, for the access to, inability to access, use, and inability to use or content available on or through target sites.

10. SECURITY SABD shall take all reasonable steps to secure the content and the information provided by and collected from Users from unauthorized access and/or disclosure. However, SABD does not make any warranties or representations that content shall be safe or secure. 
11. DISCLAIMER AND LIMITATION OF LIABILITY
10.1 SABD (including its owners, employees, suppliers, Internet service providers, partners, affiliates and agents) shall not be liable for any damage, loss or liability of any nature incurred by whomever and resulting from:-
12. REMOVAL AND CORRECTION OF CONTENT Users are encouraged to report untrue, inaccurate, defamatory, illegal, infringing and/or harmful content

INTERCEPTION OF COMMUNICATIONS Subject to the provisions of the Regulation of Interception of Communications (RIC) Act 70 of 2002, the User agrees to SABD right to intercept, block, filter, read, delete, disclose and use all communications (including all “data messages” send or posted by the its staff and employees.

14. ENTIRE AGREEMENT AND SEVERABILITY
These terms and conditions constitute the entire agreement between SABD and the User and shall take precedent over any disclaimers and/or legal notices attached to any communications and/or postings received by SABD

AGREEMENT CONDITIONS The User and SABD agree that:- The User shall be bound to these term and conditions and such agreement is concluded in Pretoria (South Africa) electronic signatures, encryption and/or authentication are not required for valid electronic communications between the User and SABD
16. APPLICABLE AND GOVERNING LAW The Terms and Conditions is hosted, controlled and operated from the Republic of South Africa and therefore

For queries please contact your representative. Terms and conditions available on request. No verbal conditions will be accepted unless recorded in writing on this contract. This is a firm order and is not subject to cancellation and this agreement shall be deemed to be concluded after credit clearance and confirmed acceptance by the Publisher. All publishing and distribution shall be deemed to be effected from Publisher’s Head Office and any cause of action shall fall within the jurisdiction. An interest rate of 2% per month will be charged on overdue amounts, together with any collection charges or legal fees. Accounts will become active from the time the advertisement is published. All adverts run in a sequence of years eg. 2016/2017 editions. If you do wish to cancel we will accept cancellation within the first 7 working days of signature the contract if cancellation is placed before the month of May we will be able to cancel your adverts for the next edition, however a cancellation fee of 75% of the original amount will charged to the client after agreed upon both parties a cancellation letter will be forwarded for all future listings pertaining to SABD (formerly known as SA BUSINESS DIRECTORIES (PTY) LTD)
